Terms of Services

1. Company Information

LeadPoet.ai is operated by Codepoet, LLC, a Texas limited liability company, with a mailing address at 4450 Arapahoe Ave, Boulder, CO 80303 (“LeadPoet,” “we,” “us,” or “our”).

By accessing or using LeadPoet.ai or any related services (the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services.

2. Nature of Services

LeadPoet provides managed lead generation services and related consulting. LeadPoet does not provide email inboxes, email servers, or sending infrastructure. All outbound email campaigns are executed through third-party email sequencing platforms selected by the client.

LeadPoet does not guarantee:

Deliverability
Open rates
Reply rates
Lead quality
Revenue, sales, or business outcomes

You acknowledge that lead generation is inherently probabilistic, not deterministic.

3. Client Responsibilities

You represent and warrant that:

You are at least 18 years of age
You are legally permitted to operate your business
All data you provide is lawfully obtained
You have the legal right to contact all prospects included in campaigns

You are solely responsible for compliance with:

CAN-SPAM Act
GDPR (if applicable)
CASL, PECR, or any other applicable regulations
Industry-specific regulations

4. Prohibited Uses

You may not use the Services for, or in connection with:

Illegal activities of any kind
Spam or deceptive messaging
Cold outreach without a functional opt-out mechanism
Affiliate marketing
Cryptocurrency, NFTs, or blockchain token promotions
Adult content or services
Pharmaceutical or medical offers
Political campaigns or advocacy
Resale, leasing, or transfer of inboxes or accounts
Impersonation, misrepresentation, or fraud

Violation results in immediate termination with no refund.

5. Data Handling & Storage

LeadPoet does not permanently store prospect or campaign data on its own servers.

Campaign data is stored with third-party service providers and, where applicable, in shared Google Drive folders accessible to the client. Upon termination, all applicable data will be provided to the client via shared access.

6. Payments & Refunds

All payments are processed exclusively via Stripe
Services are subscription-based
ALL FEES ARE NON-REFUNDABLE
No refunds for dissatisfaction, performance, suspension, or termination

You explicitly waive any right to chargebacks or payment disputes.

7. Termination

LeadPoet may suspend or terminate Services at any time, for any reason, including suspected compliance risk or reputational harm.

Upon termination:

Access to Services ceases immediately
Outstanding balances remain due
No refunds are issue

8. Indemnification

You agree to fully indemnify, defend, and hold harmless Codepoet, LLC, its officers, members, contractors, and affiliates from any and all claims, damages, fines, penalties, or legal fees arising from:

Your campaigns
Your data
Regulatory complaints
Third-party claims

If you cannot agree to this, do not use the Services.

9. Limitation of Liability

To the maximum extent permitted by law, LeadPoet’s total liability shall not exceed the fees paid by you in the preceding 30 days.

We are not liable for indirect, incidental, consequential, or punitive damages.

10. Arbitration & Class Action Waiver

All disputes shall be resolved by binding arbitration in the State of Texas.

You waive:

The right to a jury trial
The right to participate in class actions or collective claims

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

12. Modifications

We may update these Terms at any time. Continued use constitutes acceptance.
